<br /> with the investigation / marketing efforts and subsequent proposals, and/or
<br /> contract/subcontract efforts called for under this Agreement during the course of this
<br /> Agreement for a period of one (1)year thereafter without prior written consent of the other
<br /> Party. This shall not prohibit one Party from hiring any employee of the other Party who
<br /> responds to (i) routine employment solicitations, or open house or job fair events, or (ii)
<br /> widely distributed announcements of job openings.
<br /> 2. COMPANY acknowledges that CLIENT is a public agency subject to civil service rules,
<br /> procurement and contracting rules and other laws and regulations. These rules include public
<br /> announcements of all employment openings. COMPANY agrees that so long as a CLIENT
<br /> solicitation,hiring,consultation or contract is compliance with such public agency rules,laws
<br /> and regulations,Section D.1 does not apply.
<br /> E. Insurance. Throughout the term of this Agreement, COMPANY will carry, at its expense,
<br /> workers' compensation and comprehensive general liability, bodily injury, and property damage
<br /> insurance in amounts noted below with an insurance company acceptable to CLIENT. COMPANY's
<br /> obligation to carry insurance shall be in addition to, and in no way shall limit COMPANY's
<br /> indemnification obligations under Article VIII of this Agreement.
<br /> ❖ Worker's compensation insurance as prescribed by the law of the state(s)in which the work
<br /> is performed,including Employer's Liability insurance with limits of at least$1,000,000 for
<br /> each occurrence;
<br /> ❖ Comprehensive Automobile Liability insurance with limits of at least$1,000,000 combined
<br /> single limit for bodily injury and property damage for each occurrence covering all owned,
<br /> hired,and non-owned vehicles;
<br /> ❖ Commercial General Liability insurance, including Blanket Contractual Liability covering
<br /> the indemnity provisions of this Agreement and Broad Form Property damage,with limits
<br /> of at least$1,000,000 combined single limit for bodily injury,personal injury (e.g., slander,
<br /> libel,wrongful detention, false arrest, etc.) and property damage for each occurrence and
<br /> Employer's Stop Gap Liability endorsements, where applicable, and $2,000,000 in the
<br /> aggregate;
<br /> ❖ Employee Dishonesty Coverage under a Crime Policy or Fidelity Bond with limits of at least
<br /> $100,000 for each occurrence, including loss to Customer, covering all Consultant
<br /> Employees performing Services;and
<br /> ❖ Professional Liability(Errors and Omissions)insurance,with limits of at least$1,000,000 for
<br /> each occurrence.
<br /> VII. INDEMNIFICATION
<br /> A. Indemnification by COMPANY. COMPANY covenants to fully indemnify, save and hold
<br /> harmless CLIENT, its officers, employees, and agents ("Indemnitees") against all liability, damage,
<br /> loss, claims, demands and actions of any kind on account of personal injuries (including, without
