CLOSING DELIVERIES <br /> At Closing, the following documents (the "Closing Documents) and items shall be <br /> !ivcred as indicated below: <br /> 7.1 City's Deliveries <br /> The City shall deliver the following items to OM or Title Company, duly executed and <br /> acknowledged by the City, as applicable: <br /> 7.1.1 Special Warranty Deed <br /> A special warranty deed (the "Deed") in the form attached hereto as Exhibit F <br /> .x,1Ivcying the City Property to OM, subject only to the Permitted Exceptions. The Deed will <br /> isarlude a statement that the grant is made subject to the rights granted to the City in this <br /> reement. <br /> 7.1.2 Real Estate Excise Tax Affidavit <br /> A real estate excise tax affidavit as required in connection with the conveyance of the <br /> • Property. <br /> 7.1.3 FIRPTA Certificate <br /> A certificate of nonforeign status in form required by federal income tax regulations and <br /> ,,:it;onably acceptable to OM. <br /> 7.1.4 Environmental Indemnification and Landfill Agreement <br /> The Environmental Indemnification and Landfill Agreement referenced in Section 16.8 <br /> It�w. <br /> 7.1.5 Shelter Lease and Public Works Yard Lease <br /> The Shelter Lease; and, if required, the Public Works Yard Lease. <br /> 7.1.6 36th Street Easements <br /> To the extent easements are necessary to provide access and or utilities to the <br /> I elopment across 36th Street, as described in Section 1.3 above, the 36th Street Easements. <br /> 7.1.7 Assignment of the Contractor Licenses <br /> An Assignment of the Contractor Licenses in a form reasonably acceptable to OM. <br /> -15- <br /> •.• ,u,;,3 LEGAL13023969.1 <br />
