5 <br /> 2. The fee charged per animal may be adjusted by Everett on an annual basis <br /> to be effective on January 1 of each calendar year. If Everett intends to <br /> adjust said fees, it will give Stanwood at least ninety (90) days written <br /> notice of its intent to do so. <br /> 3. Stanwood and Everett must maintain adequate records to support their <br /> performance under this agreement. Stanwood and Everett shall maintain <br /> said records for a period of five (5)years after completion of this contract. <br /> Stanwood and Everett or any duly authorized representative thereof shall <br /> have access to any books, documents, or papers and records of the other <br /> which are directly related to this agreement for the purposes of audit <br /> examinations, excerpts, or transcripts. <br /> D. EFFECTIVE DATE; DURATION AND TERMINATION <br /> This-agreement shall be effective upon execution by all parties and remain <br /> effective until terminated by one of the parties. Both Stanwood and Everett shall <br /> have the right to terminate this agreement, with or without cause, upon sixty(60) <br /> days notice, in writing, to the other party. <br /> E. COMPLETE AGREEMENT <br /> This agreement shall constitute the entire agreement between the parties. Any <br /> other agreement; whether written, oral or otherwise; shall be null and void. <br /> F. NO SPECIAL DUTY CREATED <br /> It is expressly the purpose of this agreement to provide for and promote the <br /> health, safety, and welfare of the general public, and not to create or otherwise <br /> establish or designate any particular class or group of persons who will or should <br /> be especially protected or benefited, by the terms of this agreement. <br /> G. NO THIRD PERSON SHALL HAVE ANY RIGHTS HEREUNDER. <br /> This agreement is made only for the benefit of Everett and Stanwood and no third <br /> person or party shall have any rights hereunder whether by agency or as a third- <br /> party beneficiary or otherwise. <br />
