5 2. The fee charged per animal may be adjusted by Everett on an annual basis to be effective on January 1 of each calendar year. If Everett intends to adjust said fees, it will give Stanwood at least ninety (90) days written notice of its intent to do so. 3. Stanwood and Everett must maintain adequate records to support their performance under this agreement. Stanwood and Everett shall maintain said records for a period of five (5)years after completion of this contract. Stanwood and Everett or any duly authorized representative thereof shall have access to any books, documents, or papers and records of the other which are directly related to this agreement for the purposes of audit examinations, excerpts, or transcripts. D. EFFECTIVE DATE; DURATION AND TERMINATION This-agreement shall be effective upon execution by all parties and remain effective until terminated by one of the parties. Both Stanwood and Everett shall have the right to terminate this agreement, with or without cause, upon sixty(60) days notice, in writing, to the other party. E. COMPLETE AGREEMENT This agreement shall constitute the entire agreement between the parties. Any other agreement; whether written, oral or otherwise; shall be null and void. F. NO SPECIAL DUTY CREATED It is expressly the purpose of this agreement to provide for and promote the health, safety, and welfare of the general public, and not to create or otherwise establish or designate any particular class or group of persons who will or should be especially protected or benefited, by the terms of this agreement. G. NO THIRD PERSON SHALL HAVE ANY RIGHTS HEREUNDER. This agreement is made only for the benefit of Everett and Stanwood and no third person or party shall have any rights hereunder whether by agency or as a third- party beneficiary or otherwise.
