4 <br /> will fund the costs of its own participation in coordination activities called for in <br /> this Agreement. <br /> 9.2 City Contribution <br /> The City through its Transportation Services department shall contribute up to <br /> three hundred fifty-three thousand six hundred six dollars ($353,606) for study, <br /> planning and design of this Project. This amount is the-total City study,planning <br /> and design budget represented by FTA grants. Sound Transit shall provide the <br /> matching funds as outlined in 9.3. <br /> 9.3 Sound Transit's Contribution <br /> Sound Transit will be responsible for eighty-eight thousand four hundred two <br /> dollars ($88,402)in matching funds for the City-provided FTA grant outlined in <br /> section 9.2. Sound Transit shall be responsible for any design costs in excess of <br /> the combined total of City-provided FTA grant (outlined in section 9.2)and <br /> Sound Transit-provided local matching funds(outlined in this section 9.3). <br /> 9.4 Invoices and Payment <br /> Sound Transit will incur direct costs for design of the Project including but not <br /> limited to staff costs, consultant fees, permit fees, presentation materials, and <br /> room reservations. The City agrees to reimburse Sound Transit for up to <br /> $353,606 for all such design fees eligible for reimbursement under the City's FTA <br /> grants. Sound Transit will submit invoices to the City for payment and the City <br /> will make payment to Sound Transit within 30 calendar days of receipt of an <br /> invoice. <br /> 10. CONTRACT ADMINISTRATION <br /> The Parties shall be solely responsible for the execution, administration, and <br /> fulfillment of any contracts they enter into for the performance of its <br /> responsibilities under this Agreement. In no event shall any such contract be <br /> construed as obligating the other Party. All consultant contracts shall comply with <br /> applicable FTA, public works and procurement laws and regulations, including <br /> but not limited to, bonding, prevailing wage, nondiscrimination,retainage <br /> requirements, insurance, and workers compensation. <br /> 10.1 Opportunity for Small Business <br /> In accordance with Sound Transit's Guiding Principles for Employment and <br /> Contracting and in accordance with Sound Transit's Disadvantaged Business <br /> Enterprise (DBE) Program, Sound Transit has set diversity objectives for <br /> 8 <br />
