LICENSE AGREEMENT9 <br /> EVERETT STATION <br /> THIS LICENSE is made this day of , 2003 between the City of Everett, a <br /> Washington municipal corporation ("City"), and Quick Coach Lines Ltd. ("Quick Coach"). <br /> City and Quick Coach agree: <br /> 1. Grant of License <br /> City licenses Quick Coach to use a bus bay at the City's Everett Station, 3201 Smith, Everett, <br /> Washington, 98201, for up to nine outbound trips to Canada per day. <br /> 2. Commencement and Expiration Dates <br /> A. Commencement Date <br /> The Commencement Date shall be May 10, 2003. <br /> B. Expiration Date <br /> The License shall expire on May 10, 2006, unless terminated sooner pursuant to this License. <br /> 3. Payment <br /> Quick Coach shall pay City without notice One Thousand Five Hundred Twenty dollars ($1,520)) <br /> each month in United States' currency. The City will normally invoice Quick Coach each month, <br /> but Quick Coach's obligation to pay is not contingent upon the City's issuance of an invoice. <br /> Payment is due within thirty(30) days of receipt. <br /> 4. Authorized Use <br /> Quick Coach shall use the bus bay designated for it by the City. The City shall consult with Quick <br /> Coach regarding such designation. Quick Coach drivers/operators may sell tickets on the bus to <br /> customers on a space available basis. Nothing in this License obligates the City to provide Quick <br /> Coach with space in Everett Station for the sale of tickets. During the term of this License, the City <br /> will include a link on the Everett Station web site to Quick Coach's web site, provided that Quick <br /> Coach operates and maintains a web site. No other use is permitted without the prior written <br /> consent of City, which consent may be withheld if City in its sole discretion determines that any <br /> proposed use is either(i) inconsistent with the maintenance and operation of Everett Station as an <br /> office Everett Station, or the bus bay area as a transportation center or (ii) inconsistent with the <br /> conditions, covenants, restrictions and Rules and Regulations applicable to Everett Station or the <br /> entire Everett Station facility. Quick Coach shall not engage in any practices or conduct that are <br /> unlawful. Quick Coach shall not commit any act that will increase the then existing rate of <br /> insurance (primary or excess) on Everett Station without City's consent.
