9 <br /> requirements; a description of how Quick Coach would protect and defend City as an Additional <br /> Insured in its self-insured layer; and claims-handling directions in the event of a claim. Any <br /> amounts due to, sought by, or paid to third party claimants shall be the sole responsibility of Quick <br /> Coach, irrespective of whether such amount falls wholly within the level or amount of Quick <br /> Coach's self-insured retention. <br /> 8. Assignment <br /> Quick Coach may not assign this license, in whole or in part, without the express written consent of <br /> the City. <br /> 9. Advertising and Signs <br /> Quick Coach shall not inscribe or post, place, or in any manner display any sign, graphics, notice, <br /> picture, placard or poster, or any advertising matter whatsoever, anywhere in or about Everett <br /> Station at places visible (either directly or indirectly as an outline or shadow on a glass pane) <br /> without first obtaining City's written consent thereto, such consent to be at City's sole discretion. <br /> Any such consent by City shall be upon the understanding and condition that Quick Coach shall <br /> remove the same at the expiration or sooner termination of this License and Quick Coach shall <br /> repair any damage to Everett Station caused thereby. <br /> 10. Liens <br /> Quick Coach shall keep Everett Station free from any liens arising out of any work performed and <br /> materials ordered or obligations incurred by or on behalf of Quick Coach or its members. <br /> 11. Termination <br /> A. Without Default <br /> Either party may terminate this License on sixty days' written notice to the other, without cause. <br /> B. Default <br /> 1. Quick Coach Right to Cure <br /> Quick Coach shall have a period of three (3) business days from the date of written notice from City <br /> to Quick Coach within which to cure any default in payment of any sums due hereunder. Quick <br /> Coach shall have a period of ten (10) days from the date of written notice from City to Quick Coach <br /> within which to cure any other default hereunder; provided, however, that with respect to any such <br /> default which cannot be cured within ten (10) days, the default shall not be deemed uncured if <br /> Quick Coach commences to cure within ten (10) days and for so long as Quick Coach diligently <br /> prosecutes its cure. <br /> 2. Termination for Uncured Default <br /> Upon an uncured default of this License by Quick Coach, City may terminate this License. <br /> • 36 <br /> Page 4 <br />
