If any part of this Agreement is found to be in conflict with applicable laws, <br /> such part shall be inoperative, null and void, insofar as it is in conflict with said laws, the <br /> remainder of the Agreement shall remain in full force and effect. <br /> 23. It is agreed that venue for any lawsuit arising out of this Agreement shall be <br /> Snohomish County. <br /> 24. Subsurface Investigations. This paragraph shall apply if and to the extent CH2M Hill's <br /> Scope of Work includes subsurface investigations. CH2M Hill shall perform these investigations <br /> using standard practices of professional engineers performing such investigations, including, but <br /> not limited to, determination of the number and location of sample and other test points and <br /> locations. CH2M Hill shall not be responsible for subsurface conditions that: (a) affect total <br /> Project cost and/or execution and (b) are not reasonably anticipated, despite a subsurface <br /> investigation performed to the reasonable standards of professional engineers performing such <br /> work. <br /> 25. CH2M Hill's Personnel at Construction Site. Unless otherwise explicitly provided in the <br /> Scope of Work, the presence or duties of CH2M Hill's personnel at a construction site do not <br /> make CH2M Hill or CH2M Hill's personnel in any way responsible for those duties that belong <br /> to City with respect to the construction, repair or maintenance of any public work. CH2M Hill <br /> shall not be responsible for any duties or responsibilities normally performed by construction <br /> contractors or other entities. CH2M Hill shall not direct a construction contractor on a City <br /> public works project with respect to construction methods, means, techniques, sequences, and <br /> procedures, including (a) those necessary for coordinating and completing all portions of the <br /> construction work in accordance with the construction Contract Documents and (b) any health or <br /> safety precautions required by such construction work. If CH2M Hill is explicitly authorized to <br /> act as the City's representative on a public works project, CH2M Hill may suggest solutions to <br /> problems when asked by the construction contractor, but shall explicitly tell the construction <br /> 8 <br /> 62 <br />
