2 purchase a blanket fidelity bond covering all employees in an amount equal to cash advances from the City. The Contractor shall comply with the bonding and insurance requirements of 24 CFR Part 84 as described at 570.502(b), Bonding and Insurance. E. Grantor Recognition The Contractor shall insure recognition of the role of the City in providing services through this Agreement. All activities, facilities and items utilized pursuant to this Agreement shall be prominently labeled as to funding source. In addition, the Contractor will include a reference to the support provided herein in all publications made possible with funds made available under this contract. F. Amendments The City or Contractor may amend this Agreement at any time provided that such amendments make specific reference to this Agreement, and are executed in writing, signed by a duly authorized representative of both organizations, and approved by the Everett City Council. Such amendments shall not invalidate this Agreement, nor relieve or release the City or Contractor from its obligations under this Agreement. The City may, in its discretion, amend this Agreement to conform with Federal, state or local governmental guidelines, policies and available funding amounts, or for other reasons. If such amendments result in a change in the funding, the scope of services, or schedule of the activities to be undertaken as part of this Agreement, such modifications will be incorporated only by written amendment signed by both City and Contractor. G. Contract Suspension or Termination a. Terminations - This Agreement may be terminated with or without cause by the City by giving written notice to the Contractor and specifying the effective date of not less than 15 days from the date of the letter. The City may terminate this Agreement for cause by giving written notice to the Contractor and specifying the effective date of said termination. If the Agreement is terminated with or without, the City shall pay the Contractor for satisfactory work completed in accordance with the provisions of this Agreement through the effective date of termination. b. Termination for Withdrawal, Reduction or Limitation of Funding In the event that funding from the Federal government is withdrawn, reduced or limited in any way after the effective date of this contract, and prior to its normal completion, the City may summarily terminate this Contract as to the funds reduced or limited, notwithstanding any other termination provision of this Agreement. If the level of funding so reduced or limited is so great that the City deems that the continuation of the program covered by this Agreement is no longer in the best interest of the public, the City may summarily s-2 11
