• <br /> 12 <br /> judgments against the State or its agents or employees will be paid from the liability account as <br /> provided in RCW 4.92.130. <br /> Each Workforce member must provide a letter from its Risk Manager, or appropriate Finance <br /> Officer representing and warranting the following minimum information: whether the self-insurance <br /> program is actuarially funded; the fund limits; any excess declaration pages to meet the contract <br /> requirements; a description of how the Workforce member would protect and defend City as an <br /> Additional Insured in their self-insured layer; and claims-handling directions in the event of a claim. <br /> Any amounts due to, sought by, or paid to third party claimants shall be the sole responsibility of the <br /> Workforce member, irrespective of whether such amount falls wholly within the level or amount of <br /> the Workforce member's self-insured retention. <br /> 16. Assignment and Subletting <br /> A. Assignment or Sublease <br /> Workforce shall not assign,mortgage, encumber or otherwise transfer this Lease nor sublet the <br /> whole or any part of the Premises without in each case first obtaining City's written consent,which <br /> consent will not be unreasonably withheld. No assignment, subletting or other transfer shall relieve <br /> Workforce of any liability under this Lease. Consent to any assignment, subletting or other transfer <br /> shall not operate as a waiver of the necessity for consent to any subsequent assignment, subletting or <br /> transfer. If such consent is requested, City reserves the right to terminate this Lease. If consent is <br /> requested for subletting less than the entire Premises, City may at its sole option terminate this <br /> Lease with respect to the portion for which such consent is requested at the proposed effective date <br /> of such proposed subletting and enter into a lease directly with such proposed subtenant or assignee, <br /> based on the rent (and/or other compensation) and the term agreed to by such subtenant or assignee <br /> and otherwise upon the terms and conditions of this Lease. <br /> B. Assignee Obligations <br /> As a condition to City's approval, any potential assignee otherwise approved by City shall assume <br /> all obligations of Workforce under this Lease and shall be jointly and severally liable with <br /> Workforce for the payment of Rent and Additional rent and performance of all terms, covenants and <br /> conditions of this Lease. <br /> C. Sublessee Obligations <br /> Any sublessee shall assume all obligations of Workforce as to that portion of the Premises subleased <br /> and shall be jointly and severally liable with Workforce for Rent, Additional Rent, other payments, <br /> and performance of all terms, covenants and conditions of this Lease. <br /> 17. Advertising <br /> Workforce shall not inscribe or post,place, or in any manner display any sign, graphics, notice, <br /> picture,placard or poster, or any advertising matter whatsoever, anywhere in or about the Premises <br /> 101 Page 12 of 21 <br />
