Exhibit A OSOS No. G-2639 • Settle all outstanding liabilities and all claims arising out of such termination of orders and subcontracts, with the approval or ratification of the Secretary of State to the extent the Secretary of State may require, which approval or ratification shall be final for all the purposes of this clause; • Transfer title to the OSOS/WSL and deliver in the manner, at the times, and to the extent directed by the Secretary of State any property which, if the contract had been completed, would have been required to be furnished to the OSOS/WSL; • Complete performance of such part of the work as shall not have been terminated by the Secretary of State; and • Take such action as may be necessary, or as the Secretary of State may direct, for the protection and preservation of the property related to this contract which is in the possession of the Sub-Grantee and in which the OSOS/WSL has or may acquire an interest. USE OF NAME PROHIBITED The Sub-Grantee shall not in any way contract on behalf of or in the name of OSOS/WSL. WAIVER A failure by either party to exercise its rights under this Grant Agreement shall not preclude that party from subsequent exercise of such rights and shall not constitute a waiver of any other rights under this Grant Agreement, unless stated to be such in writing signed by an authorized representative of the party and attached to the original Grant Agreement. PART Ill - ASSURANCES The Office of the Secretary of State, Washington State Library, and the Sub-Grantee agree that all activity pursuant to this Grant Agreement will be in accordance with all applicable, current or future federal, state, and local laws, rules and regulations. Specifically, this includes laws, rules and regulations such as: a) 45 Code of Federal Regulations (CFR) Part 1183, Uniform Administrative Requirements for Grants and Cooperative Agreements; b) 45 Code of Federal Regulations (CFR) Part 1185, Governmentwide Debarment and Suspension (Nonprocurement) and Government Wide Requirements for Drug-Free Workplace (Grants); c) Office of Management and Budget (OMB) Circular A-21 Revised, Cost Principles for Educational Institutions; d) Office of Management and Budget (OMB) Circular A-87 Revised, Cost Principles for State, Local and Indian Tribal Governments; e) Office of Management and Budget (OMB) Circular A-122, Cost Principles for Non-Profit Organizations; and f) Office of Management and Budget (OMB) Circular A-133 Revised, Audits of States, Local Governments, and Non-Profit Organizations.
