9 <br /> 4 <br /> AGREEMENT BETWEEN THE CITY OF EVERETT AND LOJACK <br /> CORPORATION <br /> This AGREEMENT is made this —day of April 2004, between the <br /> City of Everett,hereinafter known as the "CITY" and LOJACK CORPORATION, a <br /> Massachusetts Corporation, hereinafter referred to as"LOJACK". <br /> WHEREAS,the CITY and LOJACK are both desirous of entering into an <br /> Agreement regarding the installation and use of equipment, software, and systems owned <br /> by LOJACK for the purpose of participating in the Stolen Vehicle Recovery Network, <br /> and to enhance the CITY's efforts in recovering reported stolen vehicles within the City <br /> of Everett. <br /> NOW, THEREFORE,the parties to this Agreement set forth the following as the <br /> terms and conditions of the Agreement: <br /> 1. TERM: The term of this Agreement shall be for a period of five (5)years from <br /> the date designated above, with automatic renewal for an additional two (2)year term <br /> unless notified in writing by either party one hundred and twenty(120) days prior to the <br /> expiration of this Agreement. <br /> 2. TERMINATION: This Agreement maybe terminated by either party by <br /> providing ninety(90) day written notice to the other party. <br /> 3. PROJECT ADMINISTRATOR: for the CITY will be Deputy Chief Stiles <br /> or his designee. <br /> 4. INSTALLATION: LOJACK shall provide all equipment, software, and <br /> interconnection service that will be required for the CITY to operate the stolen vehicle <br /> recovery system. This includes, but is not limited to, software, and hardware for <br /> interaction between the CITY and the State Law Enforcement databases and activation <br /> network; and Police Tracking Computers(PTCs) installed in the CITY patrol vehicles. <br /> 5. COSTS: LOJACK shall be responsible for ALL costs involved in the <br /> installation and operation of this System. The CITY will not be responsible for any costs <br /> or expenses except for personnel costs resulting from the CITY's operation and use of the <br /> system. <br /> 73 <br />
