6 <br /> 4 <br /> sought. The City shall use this annual survey to determine the proportionate share of the costs <br /> for the parking stalls by Sound Transit. The cost of the annual survey shall bo.evenly divided <br /> between the Parties. <br /> 4. Section 4.1.11 of the Agreement is amended as follows: <br /> 4.1.11 Customer Services <br /> The City will provide customer services for Sounder as outlined in Exhibit F. The City will be <br /> responsible for providing the necessary management, automated information and <br /> telecommunications services currently used to provide customer services and products. Services <br /> and products provided by the City will be consistent and in accordance with the City's standard <br /> customer service products,policies and procedures. Those duties and responsibilities not <br /> specifically described in Exhibit F shall be deemed the responsibilities of Sound Transit. <br /> 5. Section 5.1.1 of the Agreement is amended as follows: <br /> 5.1.1 Scheduled Maintenance <br /> The City shall provide scheduled maintenance as described in Exhibit D for the assigned Sound <br /> Transit parking stalls; the parking stalls in Parking Lot B (improvements paid for by and <br /> perpetual easement for Sounder); and the bays,platform space, and shelters/windscreens <br /> assigned to ST Express buses. In addition,the City shall provide scheduled maintenance as <br /> described in Exhibit D for the South Parking Lot shown in Exhibit Al. The scheduled <br /> maintenance for the parking stalls in Sound Transit's Parking Lot B shall not be charged to <br /> Sound Transit until Commuter Rail begins daily operation. <br /> 6. Section 5.1.2 of the Agreement is amended as follows: <br /> 5.1.2 Unscheduled Maintenance And Minor Repairs <br /> The City shall provide unscheduled maintenance and minor repairs as described in Exhibit D for <br /> the assigned Sound Transit parking stalls; the parking stalls in Parking Lot B (improvements paid <br /> for by and perpetual easement for Sounder); and the bays, platform space, and <br /> shelters/windscreens assigned to ST Express buses. In addition, the City shall provide <br /> unscheduled maintenance as described in Exhibit D for the South Parking Lot shown in Exhibit <br /> Al. The unscheduled maintenance and minor repairs for the parking stalls in Parking Lot B shall <br /> not be charged to Sound Transit until Commuter Rail begins daily operation. <br /> 5.1.3 MID-LIFE MAINTENANCE/MAJOR REPAIRS/REPLACEMENTS <br /> All major repairs,replacements and mid-life maintenance as they relate to Everett Station shall <br /> be the responsibility of the City regardless of their origin or whether planned or unplanned. The <br /> City shall include an assessment for major repairs, replacements and mid-life maintenance for <br /> Everett Station in the agreed upon annual rate to be paid by Sound Transit. The annual rate will <br /> include major repairs,replacements and mid-life maintenance for Parking Lot B. Major repairs, <br /> replacements and mid-life maintenance include items such as asphalt/concrete overlays or <br /> replacements and lighting upgrades or replacement. In consideration for the payment of an <br /> assessment for mid-life maintenance, major repairs and replacements,the City assumes all <br /> responsibility for mid-life maintenance,major repairs and replacements, and Sound Transit shall <br /> bear no further financial responsibility for mid-life maintenance, major repairs and replacements <br /> - 16 <br /> RIMAUO12304 ST M&O(.ES 3 <br />
