4 <br /> 4 <br /> or transcripts from such records, and to make audits of all contracts, invoices,-materials, payrolls, <br /> records of personnel, conditions of employment and other data relating to all matters covered by <br /> this Agreement. <br /> B. Submission of Reports and Other Documents. The Contractor shall submit reports to <br /> the City, upon request of the City. Said information shall be subject to review by the City, and <br /> if found to be unacceptable under the terms of this Agreement, it shall be revised by the <br /> Contractor to the extent necessary to render it acceptable and resubmit it with all practical <br /> dispatch. <br /> C. Annual Submission of Budget and Financial Report to City. On or before November 1 of <br /> each year, the Contractor shall submit to the City its proposed budget for the next year's <br /> operations to be used by the City as a basis for the annual BIA assessment. In addition and at the <br /> same time, the Contractor shall provide the City, its financial report as of the end of its fiscal <br /> year, showing income, grants, expenditures,balances, profits, losses and an itemized list of assets <br /> acquired together with their acquisition costs and depreciated values. <br /> 13. City of Everett Business License. Contractor shall obtain a City of Everett business <br /> license prior to performing any work pursuant to this Agreement. <br /> 14. State of Washington Requirements. Contractor shall register and obtain any State of <br /> Washington business licenses, Department of Revenue account and/or unified business identifier <br /> number as required by RCW 50.04.140 and 51.08.195 prior to performing any work pursuant to <br /> this Agreement. <br /> 15. Compliance with Federal, State and Local Laws. Contractor shall comply with and obey <br /> all federal, state and local laws, regulations, and ordinances applicable to the operation of its <br /> business and to its performance of work hereunder. <br /> 16. Waiver. Any waiver by the Contractor or the City or the breach of any provision of this <br /> Agreement by the other party will not operate, or be construed, as a waiver of any subsequent <br /> breach by either party or prevent either party from thereafter enforcing any such provisions. <br /> 17. Complete Agreement. This Agreement contains the complete and integrated understanding <br /> and Agreement between the parties and supersedes any understanding, Agreement or negotiation <br /> whether oral or written not set forth herein. <br /> 18. Equal Employment Opportunity. Contractor shall not discriminate against any employee, <br /> applicant for employment, independent contractor, or proposed independent contractor, on the <br /> basis of race, color, religion, sex, age, disability, marital state, or national origin. <br /> 19. 1VIodification of Agreement. This Agreement may be modified as provided in paragraph 6, <br /> or by a writing explicitly identified as a modification of this Agreement that is signed by <br /> authorized representatives of the City and the Contractor. <br /> 6 <br /> 2x <br />
