b <br />E. Grantor Recognition <br />The Contractor shall insure recognition of the role of the City in providing services through <br />this Agreement. All activities, facilities and items utilized pursuant to this Agreement shall be <br />prominently labeled as to funding source. In addition, the Contractor will include a reference <br />to the support provided herein in all publications made possible with funds made available <br />under this contract. <br />F. Amendments <br />The City or Contractor may amend this Agreement at any time provided that such <br />amendments make specific reference to this Agreement, and are executed in writing, signed <br />by a duly authorized representative of both organizations, and approved by the Everett City <br />Council. Such amendments shall not invalidate this Agreement, nor relieve or release the <br />City or Contractor from its obligations under this Agreement. <br />The City may, in its discretion, amend this Agreement to conform with Federal, state or local <br />governmental guidelines, policies and available funding amounts, or for other reasons. If <br />such amendments result in a change in the funding, the scope of services, or schedule of the <br />activities to be undertaken as part of this Agreement, such modifications will be incorporated <br />only by written amendment signed by both City and Contractor. <br />G. Contract Suspension or Termination <br />a. Terminations - This Agreement may be terminated with or without cause by the City by <br />giving written notice to the Contractor and specifying the effective date of not less than 15 <br />days from the date of the letter. The City may terminate this Agreement for cause by <br />giving written notice to the Contractor and specifying the effective date of said <br />termination. If the Agreement is terminated with or without, the City shall pay the <br />Contractor for satisfactory work completed in accordance with the provisions of this <br />Agreement through the effective date of termination. <br />b. Termination for Withdrawal Reduction or Limitation of Funding In the event that funding <br />from Washington State or Snohomish County is withdrawn, reduced or limited in any way <br />after the effective date of this contract, and prior to its normal completion, the City may <br />summarily terminate this Contract as to the funds reduced or limited, notwithstanding any <br />other termination provision of this Agreement. If the level of funding so reduced or <br />limited is so great that the City deems that the continuation of the program covered by <br />this Agreement is no longer in the best interest of the public, the City may summarily <br />terminate this Agreement in whole notwithstanding any other termination provisions of <br />this Agreement. Termination under this Section shall be effective upon receipt of written <br />notice by the Contractor or its representative. <br />The City agrees to promptly notify the Contractor of any proposed reduction in funding by <br />Federal or other officials. The Contractor agrees that upon receipt of such notice it shall <br />take appropriate and reasonable action to reduce its spending in the affected funding <br />area so that expenditures do not exceed the funding level which would result if said <br />proposed reduction became effective. <br />B-7 <br />6 <br />
