J. Warranty of Authority <br /> Each person signing this Agreement individually and personally warrants and represents <br /> that he or she has actual and express authority to bind the entity for which he or she signs. <br /> K. Audits and Inspections <br /> Bank shall retain and safeguard all records relating to its work for a period of three(3) <br /> years from any transaction date. Bank shall upon reasonable written notice from the City <br /> make available to the City or the Washington State auditor for examination, at a <br /> reasonable time and place, all of Bank's records and documents with respect to the <br /> Banking Services provided to the City under this Agreement. <br /> L. City of Everett Business License <br /> Bank agrees to obtain a City of Everett business license prior to performing any work <br /> pursuant to this Agreement. <br /> M. State of Washington Requirements <br /> Bank agrees to register and obtain any State of Washington business licenses, <br /> Department of Revenue account and/or unified business identifier number as required by <br /> RCW 50.04.140 and 51.08.195 prior to performing any work pursuant to this Agreement. <br /> N. Compliance with Federal, State and Local Laws <br /> Bank shall comply with and obey all federal, state and local laws,regulations, and <br /> ordinances applicable to the operation of its business and to its performance of work <br /> hereunder. <br /> O. Complete Agreement <br /> This Agreement contains the complete and integrated understanding and Agreement <br /> between the parties and supersedes any understanding, Agreement or negotiation whether <br /> oral or written not set forth herein. <br /> P.
