PARTIES agree to provide the appropriate staff and materials necessary to participate in the <br /> ASSESSMENT. <br /> II. PAYMENT <br /> The STATE agrees to pay the lump sum stipend shown in Exhibit A for each PROJECT where <br /> the LEAD AGENCY participates in the PROJECT ASSESSMENT. This stipend will be <br /> considered full compensation for any and all costs incurred by the LEAD AGENCY as a result <br /> of participating in each ASSESSMENT. <br /> At the conclusion of the LEAD AGENCY'S participation and upon receipt of the deliverables <br /> listed in Exhibit A, the LEAD AGENCY shall submit an invoice to the STATE listing all <br /> PROJECTS where the LEAD AGENCY participated in the ASSESSMENT, and the amount due. <br /> The STATE will pay the invoice within 30 days of receipt. <br /> The LEAD AGENCY shall submit the invoice to: <br /> Department of Transportation <br /> c/o Gary Langrock <br /> 401 2nd Avenue South, Suite 560 <br /> Seattle, WA 98104-2887 <br /> The STATE will direct the payment to the following address: <br /> City of Everett <br /> Department of Public Works <br /> c/o Brian Jones <br /> 3200 Cedar Street <br /> Everett, WA 98201 <br /> III. DISPUTES <br /> Any dispute between the PARTIES relating to this AGREEMENT shall be resolved in <br /> accordance with the following dispute resolution provision. As a condition precedent to the right <br /> to seek judicial relief, a PARTY shall first attempt to informally resolve the dispute directly with <br /> the other PARTY by giving the other PARTY written notice of the dispute. Such notice shall <br /> describe the nature of the dispute, the position of the PARTY giving the notice and the proposed <br /> resolution of the dispute in reasonable detail. After such notice is given, the PARTIES shall seek <br /> diligently and in good faith to resolve the dispute through face-to-face meetings and other <br /> contacts at such level or levels of contact as each PARTY deems necessary and appropriate. If <br /> despite such efforts the dispute is not resolved within thirty (30) days after the date the notice is <br /> 6 <br /> GCA 4235 Page 2 <br />
