S <br /> F. Amendment. No change, amendment or modification of any <br /> provision of this Agreement shall be valid unless set forth in a <br /> written amendment to this Agreement signed by both parties. <br /> G. Assignment and Subcontracts; Binding Agreement. Neither party <br /> may assign this Agreement, or assign or subcontract all or any part <br /> of such party's rights or obligations under this Agreement, without <br /> the prior written consent of the other party, which consent shall not <br /> be unreasonably withheld. Without in any way limiting the <br /> foregoing, this Agreement shall be binding upon and shall inure to <br /> the benefit of the parties hereto and their respective successors and <br /> permitted assigns. <br /> H. Governing Law Venue. This Agreement shall be governed by and <br /> construed in accordance with the laws of the State of Washington. <br /> The parties agree that any lawsuit or judicial action or proceeding <br /> arising out of or relating to this Agreement must be heard in the <br /> Superior Court of the State of Washington in and for Snohomish <br /> County. <br /> I. Construction. No provision of the Agreement shall be construed in <br /> favor of or against either of the parties hereto by reason of the <br /> extent to which any such party or its counsel participated in the <br /> drafting thereof or by reason of the extent to which such provision <br /> or any other provision or provisions of this Agreement is or are <br /> inconsistent with any prior draft thereof. <br /> 12 1 9 <br />
