9 <br /> Section 16. Entire Agreement <br /> (a) This Agreement represents the entire understanding of the parties and <br /> supersedes any oral representations that are inconsistent with or modify its terms and <br /> conditions. <br /> (b) Nothing in this Agreement shall limit the ability of the COUNTY to contract <br /> with other entities at different rates or terms. <br /> Section 17.Force Majeure <br /> In the event either party's performance of any of the provisions of this Agreement become <br /> impossible due to Force Majeure,that party will be excused from performing such obligations <br /> until such time as the Force Majeure event has ended and all facilities and operations have been <br /> repaired and/or restored. <br /> Section 18. Severability <br /> If any provision of this Agreement is found to be invalid or contrary to law,the remainder <br /> of this Agreement shall not be affected thereby. <br /> Section 19 Grants <br /> Both parties shall cooperate and assist each other toward procuring grants or financial <br /> assistance from the United States, the State of Washington, and private benefactors for the Jail,the <br /> care and rehabilitation of inmates, and the reduction of costs of operating and maintaining Jail <br /> facilities. <br /> Section 20 Jail Advisory Board <br /> A Jail Advisory Board shall be established for the purpose of creating an enhanced understanding <br /> and partnership between the cities and the COUNTY in regards to jail operations identified within <br /> this agreement. The COUNTY shall work collaboratively with all cities within Snohomish County <br /> to identify the Board's advisory roles, responsibilities, and membership criteria. CITY <br /> representation on the Jail Advisory Board shall be equitably distributed to reflect geographic area <br /> and population size consideration. The COUNTY shall establish a Jail Advisory Board in <br /> accordance with this agreement by June 1,2005. <br /> Section 21 Offer <br /> (a) This Agreement is offered to all entities currently contracting with the COUNTY for <br /> jail services who are current in their payments to the COUNTY as defined in their existing <br /> contracts.
