A. The operation of a security program to provide enhanced security for common areas <br /> and for people,which may include,but is not limited to, dissemination of information relative to <br /> security and for the purpose of generating favorable publicity, to promote the BIA and the <br /> property and businesses therein as a clean, safe and inviting area; to the providing of additional <br /> security through a combination of public and private personnel, facilities, improved lighting, and <br /> such other measures or activities as will accomplish the above-stated objectives, and assist in <br /> changing any perception that downtown Everett is undesirable or unsafe. <br /> B. Maintenance and appearance enhancement of common areas, such as the sweeping and <br /> cleaning of sidewalks, the removal or covering of graffiti, the removal or prevention of litter, <br /> providing trash receptacles and planting containers, and such other related activities or services <br /> which would enhance the appearance of the area and encourage the general public to increasingly <br /> visit and do business in the BIA. <br /> C. Contractor shall engage in activities to market to the general public the desirability of <br /> Everett's downtown for business, commerce and recreational uses and activities. <br /> D. Other services consistent with state law applicable to BIAs and Ordinance No. 2097- <br /> 95 as recommended by the Contractor or by an advisory board duly constituted in accordance <br /> with Section 11 of Ordinance No. 2007-95 and agreed to by the City and the Contractor. <br /> E. Without a written directive of an authorized representative of the City, the Contractor <br /> shall not perform any services that are in addition to, or beyond the scope of, the Work between <br /> the City and Contractor. <br /> 2. Intellectual Property Rights. Unless otherwise expressly agreed in writing, all intellectual <br /> property rights in works created pursuant to this Agreement, or for the City of Everett,belong to <br /> the City of Everett. Contractor retains any intellectual property rights in works created by <br /> Contractor prior to engagement, or not for its performance of this Agreement. <br /> 3. Extension of Previous Contract and Time of Beginning and Completion of <br /> Performance Under Current Contract. The parties acknowledge that they operated under a <br /> previous agreement with terms substantially similar to those of this Agreement, dated, December <br /> 11, 2001, which terminated December 31, 2003. Thereafter, the Contractor continued to provide <br /> services of a kind similar to and in compensation identical to that contained in the December 11, <br /> 2001 contract. The City has not remitted any payments to the Contractor for the years 2004 and <br /> 2005 to date,rather payment for services during that period and up to present have been made <br /> from the balance maintained by the Contractor. The parties confirm that services provided by <br /> Contractor from January 1, 2004,until the execution of this agreement are covered by the <br /> December 11, 2001, agreement and its terms are extended until this agreement commences. This <br /> Agreement shall commence as of the date of its execution and shall continue unless terminated <br /> pursuant to Paragraphs 5 and/or 6. <br /> 2 <br />
