15 • <br /> Replacement Workstations. The Licensee may replace any Workstation without an additional <br /> license or license fee. The replacement must include deleting all Software Product from any <br /> Workstation replaced. For greater certainty,this provision shall not permit the Licensee to install or <br /> Use any greater number of Software Products than are stated on the first page of this Software <br /> License Agreement. <br /> 3. OTHER RIGHTS AND LIMITATIONS <br /> Reverse Engineering,De-compilation, and Disassembly.The Licensee may not reverse engineer, <br /> de-compile,or disassemble the Software Product or the BSM Hardware Product, except and only to <br /> the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. <br /> Resale or Rental. The Licensee may not re-sell, rent, lease, or lend the Software Product or the <br /> BSM Hardware Product. <br /> Assignment or Sub-Licensing. This Agreement is personal to the Licensee. The Licensee may not <br /> assign,transfer,or sub-license any license granted pursuant to this Agreement. <br /> Trademarks. This Agreement does not grant to the Licensee any rights in connection with any <br /> trademarks of BSM. <br /> Reservation of Rights. All rights not expressly granted are reserved by BSM. <br /> 4. INTELLECTUAL PROPERTY RIGHTS <br /> Copyright. All title and intellectual property rights,copyright,moral rights,and patent rights in and <br /> to the Software Product and the BSM Hardware Product (including but not limited to any images, <br /> photographs, animations, video, audio, music, text and "applets" incorporated into the Software <br /> Product), the Program Documentation, and any copies of the Software Product or the BSM <br /> Hardware Product and any part thereof are owned by BSM (except to the extent that such rights <br /> have been licensed from other parties). Nothing in this Agreement shall constitute a grant, transfer, <br /> or assignment to the Licensee of any of the foregoing rights. For purposes of this Section 4, the <br /> term"BSM" includes the parent company of BSM Wireless Inc. and all other business organizations <br /> controlled by BSM Wireless Inc. or its parent company. <br /> Copying Prohibited. The Licensee may not make copies of the Software Product or duplicates of <br /> the BSM Hardware Product. <br /> Confidential Information. The Licensee shall not disclose, and shall keep confidential, all <br /> confidential and proprietary information provided by BSM or any subsidiary or agent of BSM <br /> relating to the Software Product and the BSM Hardware Product. This provision shall not apply to <br /> information which (i) is or becomes part of the public domain through no act or omission of the <br /> Licensee,(ii)the Licensee receives from a third party acting without any obligation or restriction of <br /> confidentiality in favor of BSM, (iii)BSM releases from confidential treatment by written consent, <br /> or(iv)the Licensee is required by any applicable law or court order to disclose. <br /> 5. SOFTWARE MAINTENANCE PROGRAM-UPGRADES <br /> The Licensee shall not be entitled to any updates, upgrades or other support services unless it has <br /> subscribed to the BSM Maintenance Agreement as set out in Schedule "B" of this Agreement. <br /> Technical support services are available to the Licensee at BSM standard rates and credit condition. <br /> 5 <br /> Confidential BSM Stinger Hardware,software and Maintenance agreement V Oct04 Page 4 <br />
