1 0 <br /> Nutrifibre shall pass to Evergreen when loaded on Evergreen's trucks and the City is then irrevocably <br /> relieved of any further obligations, legal or otherwise, with regard to the transportation, handling, <br /> processing, recycling, resale, or other reuse of the Nutrifibre. The City believes Nutrifibre has the <br /> general and approximate characteristics described in Exhibit B, which was an analysis of a Nutrifibre <br /> sample performed in 2003. The composition of the entire twenty five thousand four hundred cubic <br /> yards may vary, however, and some changes may have occurred due to the passage of time, such as <br /> conversion of ammonium nitrogen to nitrate. <br /> 2. REMOVAL OF NUTRIFIBRE: Evergreen shall pick up and remove the Nutrifibre from the <br /> Riverside site by providing trucks to be loaded by Kimberly-Clark. Evergreen may begin removing <br /> Nutrifibre on May 1, 2005 and shall have completely removed the Nutrifibre by September 30, 2006. <br /> The City shall use reasonable efforts to arrange for loading of the Nutrifibre by Kimberly-Clark on <br /> trucks provided by Evergreen, but the City shall not be responsible for loading, delays in loading, <br /> damages, or any additional costs incurred by Evergreen resulting from or arising out of loading. <br /> Evergreen shall record the volume of each and every load of Nutrifibre loaded on to Evergreen's <br /> trucks. Evergreen shall provide a volume record to the City on a weekly basis. No payment shall be <br /> made for loads for which volume records are not provided. Evergreen will haul out the Nutrifibre <br /> between May 1, 2005 and September 30, 2006. Pick-up of Nutrifibre from the Riverside site will be <br /> scheduled with the City's Biosolids Specialist, with at least forty-eight hours notice. <br /> 3. COMPENSATION: The City shall pay Evergreen fourteen dollars ($14.00) per cubic yard of <br /> Nutrifibre removed from the Riverside Site. The price includes all costs incidental to Evergreen's <br /> operations in transportation and utilization processes. Evergreen agrees to pay the City one dollar <br /> ($1.00) per cubic yard for the nutrient value of the Nutrifibre.
