7 <br /> 3. Cooperation <br /> The parties agree to execute any documents that are reasonably required to effect the <br /> terms of this Agreement and to provide each other such reasonable assistance as may be <br /> reasonably necessary to perform this Agreement. <br /> 4. Notice <br /> Any notice or other communications required or permitted by this Agreement shall be in <br /> writing and shall be deemed properly given when personally delivered to a Lead <br /> Representative or sent by: (a) first class mail, certified or registered postage prepaid, (b) a <br /> recognized courier service; or(c)facsimile transmission with a confirmation of receipt <br /> followed by first-class mail addressed to the Lead Representative. <br /> 5. No Third Party Rights <br /> This Agreement does not create any enforceable rights in any third parties, or any causes <br /> of action by third parties against the parties. <br /> 6. No Partnership <br /> This Agreement does not create any partnership or joint venture between the Parties, nor <br /> does it create any agency relationship between them. <br /> 7. Entire Agreement <br /> This Agreement, including its Recitals and exhibit, embodies the parties' entire <br /> agreement on the matters covered by it, except as supplemented by subsequent <br /> amendments to this Agreement. All prior negotiations and draft written agreements are <br /> merged into and superseded by this Agreement. <br /> 8. Governing Law and Venue <br /> The laws of the State of Washington shall govern this Agreement. Venue for any <br /> disputes arising under this Agreement shall be Snohomish County, Washington. <br /> 29 5 <br />
