/ MeKrzn�u�ru6 � ' EX't�IT E LOAN RIDER The parties hereto agi�ee that the following coveaants, teans and conditions shall be part of each of the documenu evidencing, securing, or govenring t6e disbursement of the Loan (the "Loan Documenu'�, and that in ihe event of any inconsisteacy or conflict between the covenant�, terms and conditions of the Loan Dacumrnts and ffiis Rider, the following covenants, tetms and conditions shall control aad prevail: ' a, Nonrecourse Obligation. The Loan secured by this Deed of Trust is a nonrecourse obligadon of Borrower. Neither Borrower nor any of its general and limited : parmers nor any other parry shall have any personal liabiliry for rcpayment of the Loan. The sole recourse of Lender under the Loan Agreement for repayment of the Loan shall be the exercise of its rights against the Properry and related security thereunder. ; b. General Partner C6ange. The withdrawal, removal, and/or replacement of a � general partner of Borrower pucsuant to the terms of iu Partnenhip Agreement shall not constitute a default uuder any of the Loan Documents, and any such actions shall not accelerate the maturity of the Loan, provided that a subsdtute genersl parmer that is a § 501(c)(3) nonprofit corporation or a public agency and is acceptable to Lender is in place as a general partner prior to or concurrent with the withdrawal, removal, ancUor replacement of the general pattner. , I c. Monetary De!'ault. If a monetary event of default occurs under the terms of any . of the Loan Documents, prior to exercising any remedies thereunder Lender shall give Bonower and each of the general and limited partners of Borrower, as identified in the Partnership Agreement, simultaneous written notice of such default. Boaower shall have a period of ten (10) days atter such norice is given within which to cure the default prior to exercise of remedies by Lender under the Luan Documenu, or such longer period of rime as may be specified in the Loan Documenu. d. Nonmonetary Default. If a nonmonetary event of default occurs under the terms of any of the Loan Documents, prior to exercising any remedies thereunder Lender shall give Boaower and each of the general and limited partners of Borrower, as identified in the Pacmership Agreement, simultaneous written notice of such default. If the nonmonetary default is reasonably capable of being cwed within thirty (30) days, Boaower shall have such period to I effect a cure prior to exercise of remedies by Lender under the Loan Documenu, or such longer , period of time as may be specified in the Loan Documenu. If the default is such that it is not • reasonably capable of being cured within thirry (30) days or such longer period if so specified, i and if Boaower in the reasonable determination of Lender (a) initiates correcRve action within ' said period, and (b) in the reasonable determinarion of Lender diligently, continually, and in good faith works to effect a cure as soon as possible, then Borrower shall have such additional � time as Lender determines is reasonably necessary to cure the default prior to exercise of any � � 87 � 7A?5:\G6!�IER � I
