%MRy1 <br />SITE DEVEIAPNENT A17D COST SHARING AGRHEN,EI7T = <br />_- THIS AGREEMENT entered into as of this day o£ <br />December, 1985 between EMBAR EQUITI�S CORPORATION, a Washington <br />r�rporation ("Embar") and STANDARD BRANDS PAINT CO, , a <br />California corpora�ion ("Standard"). <br />RECITALS <br />A. Embar is the owner of real property located in <br />Snohomish County, Washington, which is described more <br />par�icularly in Exhibit_1 hereto (the "Shopping Center"). <br />B. Standard is in the process of purchasing from <br />Embar a portion thereof which is described more particularly in <br />Exhibit 2 hereto (the "Property"). <br />NOW, THEREFORE, the parties covenan� and agree as <br />follows: <br />1. Standard shall reimburse Embar on a manthly <br />basis, until the coa�pletion oi all such work, for Standard's <br />share, as determined in accor�iance with ttie terms of paragraph 3 <br />hereof', of all architectural, consult•ant, survey, legal, <br />bonding, permit, testing, accounting, repraduction, landscaping <br />and other costs and expenses, direct and indirect, incurred by <br />Embar in connection with the site plan and planning, design and <br />performance of the common off-site utilities and improvements <br />work and common area improvements work reguired to develop the <br />Shopping Center. Common areas are those defined as common areas <br />under terms of that Reciprocal Easement and Development <br />Agreement between the parties. The shared common offsite <br />utilities and improvements costs include, but not by way of <br />limitation, all costs and expenses related to traffic <br />signal•ization and signing; street widening and improvement; <br />sewer (sterm and sanitary); water systems; gas utilities; csrbs, <br />gutters and sidewalks; public transportation; and lighting, <br />including the cost of bringing utilities (power, water, <br />telephone, gas and sewers, sanitary and storn) to the edqe o: <br />the Property and Shopping Center. The shared common arez <br />improvements work costs include, but are not linited to, ail <br />costs and expenses related to.clearing, fine and rough gradinc <br />soil comoactiony retaining walls, perimeter walls, parking lo� <br />paving, striping, lighting and landscaping.
