water onto another Party's Tract, affect ingress and egress, <br />or otherwise adversely affect another Party's Tract. <br />3.3 Building Improvement. <br />(A) The Parties hereb1 agree that all buildings and any <br />outside Sales Areas may be located only within the Building Areas <br />designated on the Site Pian. <br />(B) In order to produce an architecturally compatible <br />Shopping Center, Developer and Target agree that the initial <br />building construction and any additions, extericr remodeling or <br />reconstruction of existing improvements thereafter shall be <br />performed only in accordance with approved plans for such work as <br />provided herein. The Party proposing such work shall submit to <br />Developer and Target detailed plans ("Plans") as required by <br />Exhibit C attached hereto and made a part hereof. Developer and <br />Target, respectively, shall either approve, disapprove, or make <br />recommendations for change in the Plans within thirty (30) days <br />of the receipt thereof. Failure to approve, disapprove, or make <br />recomm=ndations for change within said thirty (30) day period <br />shall constitute an approval of the Plans as submitted. Any <br />disapproval or recommendation for change shall specify with <br />particularity the reason therefor. Upon submission of any <br />disapproval or recommendation for change, the submitting Party, <br />Developer and Target shall mutually consult to establish approved <br />Plans for the proposed work. Target and Developer shall not <br />arbitrarily or unreasonably withhold approval of the Plans or <br />recommend changes in the Plans which otherwise conform with the <br />-19- <br />
