5 <br /> Exhibit B <br /> NSIS Dissolution Agreement <br /> THIS AGREEMENT IS MADE AND ENTERED INTO BY AND AMONG <br /> Eastern Washington University,Edmonds Community College, Everett Community <br /> College, Central Washington University, Skagit Valley College, Washington State <br /> University, Western Washington University,and University of Washington. <br /> WHEREAS, the Washington State Legislature passed legislation that was signed <br /> by the Governor to assign management and leadership responsibility for the operations <br /> previously the responsibility of the NSIS Consortium Board, Chapter 258, Laws of 2005, <br /> Sec. 13, effective July 24, 2005; and <br /> WHEREAS, the NSIS Consortium Board can be dissolved, effective July 24, <br /> 2005,Now, Therefore: <br /> 1. The NSIS Consortium Board is hereby dissolved effective July 24, 2005, <br /> through operation of the law above referenced. <br /> 2. The only duty for members of the Consortium which shall survive this <br /> dissolution is the duty to retain any books, records, documents and other evidence which <br /> sufficiently and properly reflect all direct and indirect costs expended by the Consortium <br /> members in the performance of the services to which they had agreed. These records <br /> shall remain subject to inspection, review or audit by personnel of all parties, the Office <br /> of the State Auditor, and federal officials so authorized by law. All such records shall be <br /> retained for six years here from; the Office of the State Auditor, federal auditors, and any <br /> persons duly authorized by the parties shall have full access and the right to examine any <br /> of these materials during this period. <br /> 6 <br /> NSIS Dissolution 1 <br />
