this Agreement and the Association shall assume exclusive liability therefore, and <br /> meet all requirements there under pursuant to any rules or regulations that are now <br /> or may be promulgated in connection therewith. <br /> 12. WAIVER. Any waiver by the Association or the City or the breach of any <br /> provision of this Agreement by the other party will not operate to be construed as <br /> a waiver of any subsequent breach by either party or prevent either party from <br /> thereafter enforcing any such provisions. <br /> 13. COMPLETE AGREEMENT. This Agreement contains the complete and <br /> integrated understanding and agreement between the parties and supersedes any <br /> understanding, agreement or negotiation touching on the subject matter hereto, <br /> whether oral or written, not set forth herein, and any amendment or modification <br /> hereof shall be effective only if in writing signed by both parties. <br /> 14. SEVERABILITY. If any part of this Agreement is found to be in conflict with <br /> applicable laws, such part shall be inoperative, null and void, insofar as it is in <br /> conflict with said laws, and the remainder of the Agreement shall remain in full <br /> force and effect. <br /> 15. NOTICES. Notices to the City of Everett shall be sent to the following address: <br /> Everett City Clerk <br /> Everett City Hall <br /> 3002 Wetmore Avenue <br /> Everett, WA 98201 <br /> Notices to the Association shall be sent to the following address: <br /> Everett Salty Sea Days Association <br /> 2520 Colby Avenue, Suite 101 <br /> Everett, WA 98201 <br /> In the event the Association changes its address, it is the responsibility of the <br /> Association to immediately notify the City in writing of such change. <br /> 16. VENUE. This Agreement shall be administered and interpreted under the laws of <br /> the State of Washington.
