7 <br /> 2005 STOP Violence Against Women Formula Grant <br /> Intergovernmental Agreement <br /> Page 4 <br /> 10.0 DISPUTES <br /> Consistent with RCW 43.17.320-340, the parties shall make every effort to resolve disputes <br /> arising out of, or relating to, this Agreement through discussion and negotiation. <br /> Should discussion and negotiation fail to resolve a dispute arising under this Agreement, the <br /> parties shall select a dispute resolution team to resolve the dispute. The team shall consist of a <br /> representative appointed by CTED, a representative appointed by CONTRACTOR and a third <br /> party mutually agreed upon by both parties. The team shall attempt, by majority vote, to <br /> resolve the dispute. If the dispute cannot be resolved in this fashion, either party may request <br /> • assistance from the Governor pursuant to RCW 43.17.330_ <br /> 11.0 TERMINATION <br /> Except as otherwise provided in this Agreement, either party may terminate this Agreement <br /> upon giving thirty (30) days written notice to the other party. In the event of termination of this <br /> Agreement, the terminating party shall be liable only for performance of services rendered prior <br /> to the effective date of termination. <br /> 12.0 SAVINGS <br /> CTED may unilaterally terminate all or part of this Agreement, or may reduce its scope of work <br /> and budget, if there is a reduction in funds by the source of those funds, and if such funds are <br /> the basis for this Agreement. <br /> 13.0 AMENDMENTS <br /> The parties may mutually amend this Agreement. Such amendments shall not be binding <br /> unless they are in writing and signed by persons authorized to bind the parties. <br /> 14.0 RECORDS MAINTENANCE <br /> CONTRACTOR shall maintain books, records, documents, and other evidence and accounting <br /> procedures and practices, which sufficiently and properly reflect all direct and indirect costs of <br /> any nature expended in the performance of this Agreement. These records shall be subject at <br /> all reasonable times to inspection, review, or audit by CTED personnel and other personnel <br /> duly authorized by CTED or the Office of the State Auditor. CONTRACTOR will retain all <br /> books, records, documents, and other material relevant to this Agreement for six (6)years after <br /> this Agreement expires and the Office of the State Auditor, or any persons duly authorized by <br /> CTED shall have full access to, and the rights to examine, any of said materials during said <br /> period. <br /> 15.0 OWNERSHIP OF PROJECT MATERIALS <br /> All finished or unfinished documents, data, studies, surveys, drawings, models, photographs, <br /> films, duplicating plates, computer disks and reports prepared by CONTRACTOR under this <br /> 2 5 Agreement shall be for the common use of both CTED and CONTRACTOR.
