2 <br /> such funds to be comply with State-law requirements governing the City of Everett's <br /> financial investments and require mutual consent of the Tribe and the City for withdrawal <br /> and expenditure of all funds. <br /> WHEREAS,the Tribe and the City agreed (Settlement Agreement¶D., 3.)that <br /> the remainder of the funds for the water delivery project be obtained from third parties <br /> such as but not limited to the Federal Government, Washington state and regional <br /> governments and private sources. To that end the Tribe and the City agreed to cooperate <br /> to the greatest extent practicable in obtaining financing. <br /> WHEREAS,the Tribe and the City agreed (Settlement Agreement¶ C., 1.) that <br /> they would manage the construction through a Joint Board under RCW 39.34.030(4)(a), <br /> • <br /> that will develop a comprehensive mechanism mutually agreed upon by the Tribe and the <br /> City which will address, among other things, financial management, project budgeting, <br /> construction management, bidding, insurance issues, liability issues,payment schedules, <br /> and claims issues; <br /> NOW, THEREFORE,the Tribe and the City enter into this Agreement which <br /> outlines the responsibilities and commitments of each in the creation of and terms of <br /> operation of the TULALIP AND CITY JOINT BOARD FOR MANAGING THE <br /> CONSTRUCTION OF THE EVERETT TO TULALIP WATERLINE. <br /> A. Interlocal Agreement.. <br /> This is an Interlocal Agreement entered into between the Tribe, acting pursuant to <br /> its inherent authority as a federally recognized Indian tribe, and the City, acting pursuant <br /> to its authorities including those in Chapter 39.34 RCW, to implement the managing of <br /> the construction of the Everett to Tulalip water delivery project as envisioned, specified <br /> and agreed in paragraph C. 1. of the Settlement Agreement. The goals,powers and <br /> purposes of the Joint Board as described in Settlement Agreement ¶ C.1. shall be <br /> accomplished by the Joint Board created by this Interlocal Agreement. <br /> B. TuIalip/City Joint Board. <br /> 1. Creation. There is hereby created a "Tulalip and City Joint <br /> Board for Managing the Construction of the Everett to Tulalip Waterline" ("Joint <br /> Board"), to oversee construction of the Everett to Tulalip water delivery project <br /> ("the Project") as contemplated and described in the Settlement Agreement. <br /> 2. Membership. The Joint Board shall consist of four(4) members <br /> consisting of two (2) members appointed by the City, and two (2)members <br /> appointed by the Tribe. <br /> 3. Meetings; Voting. Each member of the Joint Board shall have one <br /> vote on any matter requiring a vote at any regular or special Board meeting. <br /> 5 <br /> 2 <br />
