8 <br /> SNOHOMISH COUNTY EMERGENCY RADIO SYSTEM <br /> COMMUNICATIONS ANTENNA SITE <br /> LICENSE <br /> THIS LICENSE effective on the day of , 2006, by and between the <br /> SNOHOMISH COUNTY EMERGENCY RADIO SYSTEM, a Washington interlocal non-profit <br /> corporation, of the State of Washington, hereinafter referred to as "Licensor", and the City of <br /> Everett, a municipal corporation, hereinafter referred to as"Licensee". <br /> WITNESSETH: <br /> WHEREAS, the Licensor is the lessee of property used for general municipal and/or <br /> utility purposes that includes communications antenna sites, as described in Exhibit "A", which <br /> shall hereinafter be referred to as the"Site"; and <br /> WHEREAS, the Licensor leases land from the City of Everett, (hereinafter referred to as <br /> "landowner"); and <br /> WHEREAS, the Licensee desires to utilize space at the Site for its antenna(s) and <br /> associated equipment in accordance with the provisions contained herein on a tower that is <br /> owned by Licensor at the Site (hereinafter referred to as "Tower"); and <br /> WHEREAS, Licensor has a Radio System located on the Tower and Licensor and <br /> Licensee both agree to cooperate consistent with the terms of this License to allow Licensee to <br /> locate its communications equipment at the Site; <br /> NOW, THEREFORE, the Parties hereto do mutually agree as follows: <br /> 1. SITE: Licensor does hereby authorize Licensee and Licensee hereby accepts <br /> from Licensor, occupancy of space for antennas on the Tower on the Site, as described in Exhibit <br /> "B" attached hereto and incorporated herein by reference. The exact determination of the <br /> location the equipment is to be located on the Tower and Site shall be determined by Licensor <br /> after consultation with Licensee. <br /> 2. TERM: The Initial Term of this License shall be for five (5) years commencing <br /> on , 2006, and ending on , 2011, unless otherwise terminated as <br /> provided below. As provided in Section 5, Licensee is entitled to extend this License for two (2) <br /> five (5) year terms; provided, however, that Licensee's term shall expire no later than Licensor's <br /> lease with the Landowner that owns the real property on which the Site is located. <br /> 3.
