8 <br /> •Project:Residual Sales Agreement <br /> Change Order: I <br /> Change Order Effective Date: May 17,2006 <br /> Exhibit A—Description of Changed Work <br /> In 2004,the City took title to 25,400 cubic yards of Kimberley - Clark clarifier residuals <br /> ("Nutrifibre") stockpiled on property commonly known as the Riverside Site. Nutrifibre <br /> contain nutrients essential for plant growth and can be beneficially reused. <br /> In May of 2005 the City and Evergreen On-site entered into a Residuals Sales Agreement <br /> for reuse of the Nutrifibre. In the Residual Sales Agreement, Kimberley–Clark was <br /> responsible for loading of trucks provided by Evergreen On-site. The Riverside property <br /> was owned by Kimberley–Clark. The City recently acquired the Riverside site. <br /> The purpose of this Change Order is to pass responsibility of Nutrifibre loading <br /> operations to Evergreen On-site and to extend the original contract duration by 60 days. <br /> Therefore, Section 2 Removal of Nutrifibre of the Residuals Sales Agreement between <br /> the City and Evergreen On-site is modified to read: <br /> "Evergreen shall load,pick up and remove the Nutrifibre from the Riverside site. <br /> Evergreen shall provide all machinery, operators and fuel for this operation. Evergreen <br /> may begin removing the Nutrifibre on May 1, 2005 and shall have completely removed <br /> the Nutrifibre by November 30, 2006. The City shall not be responsible for loading or <br /> delays in loading, damages or any additional costs incurred by Evergreen resulting from <br /> or arising out of loading, pick up or removal. Evergreen shall record the volume of each <br /> and every load of Nutrifibre loaded. Evergreen shall provide a volume record to the City <br /> on a weekly basis. No payment shall be made for loads for which volume records are not <br /> provided." <br /> Section 3 Compensation is modified to include the following language: <br /> "The City shall pay Evergreen $6,000 per month, not to exceed 6 months without prior <br /> written consent of the parties, for loading operations. The price includes all costs <br /> incidental to Evergreen's loading operations." <br /> 71 <br /> Exhibit A <br /> Page 3 of 3 <br />
