WHEREAS, Agreement GCA 6141, Master Agreement for Transportation Demand <br /> Management Work by King County (Agreement), sets forth the terms and conditions applicable <br /> to the Parties' obligations regarding the COUNTY'S performance of Transportation Demand <br /> Management work or services (Work)for the STATE. <br /> WHEREAS, the Parties wish to enter into a Task Order for the COUNTY to perform Work for <br /> [insert project title]. <br /> NOW, THEREFORE, in consideration of the terms, conditions, and performances contained in <br /> the Agreement, this Task Order, and the attached exhibits, the Parties mutually agree as <br /> follows: <br /> Exhibits [optional] The following exhibits are attached hereto and incorporated into this Task <br /> Order (check all that a••l ): <br /> ❑ Exhibit A, Federal Transit Administration (FTA) Provisions <br /> Where an inconsistency is identified between a provision of GCA 6141 and a provision included <br /> in Exhibit A referenced above or in a FTA special provision stated below under Additional <br /> Terms and Conditions, the language of the federal provision has precedence. <br /> The COUNTY understands and agrees that Federal laws, regulations, and directives applicable <br /> to the Task Order on the date on which the FTA Authorized Official awarded Federal <br /> assistance may be modified from time to time.
