6 <br /> b. The Housing shall be managed in accordance with an <br /> "Artist Preference Policy"approved by Everett to assist in the <br /> selection of qualified tenants. The policy shall grant preference in <br /> the rental application process to qualified prospective tenants who <br /> are artists. For purposes of this policy, an artists is a person who <br /> works in or is skilled in any of the fine arts, including, but not <br /> limited to,painting, drawing, sculpture, book art,print-making and <br /> graphic design; a person who creates imaginative works of <br /> aesthetic literature, costume design,photography,music <br /> composition and architecture; a person who created functional art <br /> including, but not limited to jewelry,rugs, decorative screens, and <br /> grates, furniture pottery,toys and quilts; and a performer, <br /> including, but not limited to singers, musicians, dancers, actors and <br /> performance artists. <br /> c. All development, construction and maintenance shall be carried. <br /> out in accordance with all federal, state and local laws and <br /> regulations. <br /> d. Everett shall lease Site to Artspace for$1 per year for a term of <br /> 100 years. <br /> 3. Subleases Intended <br /> It is Artspace's intent that the provisions of the Ground <br /> Lease contemplated by the Agreement provide for the development of a portion of the; <br /> Site under sublease to ACSC or other third party that will have the responsibility of <br /> developing, operating and maintaining a portion of the improvements on the site pursuant <br /> to the Ground Lease. Specifically,the parties contemplate the sublease to ACSC of th9 <br /> Ground Lease for purposes of establishing and operating a regional arts center. <br /> The sublease shall be subject to the review and approval of Everett, which <br /> approval will not be unreasonably witheld. <br /> 4. Design Concept Subject to Negotiation <br /> Everett and Artspace acknowledge and agree that during the Negotiation <br /> Period,the design concept for the Project described herein is subject to negotiation and <br /> may be amended as mutually agreed upon by and between Everett and Artspace. <br /> Artspace will participate in a design review process with Everett that will include a <br /> presentation of design elements, period for Everett's comments and Artspace's response. <br /> Iv <br />
