Agreement Number:000 1461 <br /> Attachment A <br /> This attachment details the pricing and update schedule for the End User License Agreement between TANA <br /> and Licensee. All Licensed Products will be delivered on CD/ROM media. <br /> Number of Users: <br /> One to five(1-5)Users. <br /> Licensed Products <br /> Dynamap®/Transportation,commencing with version 8.3;coverage for Snohomish County,Washington, <br /> ArcView®format,semi-annual Updates(total of two(2)shipments per year). <br /> License Fees <br /> For each year this Agreement is in effect,Licensee shall pay to TANA a License Fee of Two Thousand Two <br /> Hundred Fifty Dollars($2,250). <br /> This is not a perpetual license. For each year Licensee chooses to continue the use of the Licensed Product beyond <br /> the Initial Term,Licensee must provide TANA with a purchase order by the anniversary date of the Agreement in <br /> order for TANA to authorize delivery of that year's Update of the Licensed Product. <br /> Payment <br /> In the first year of the Agreement,TANA shall invoice Licensee for the License Fee upon TANA's initial <br /> shipment of the Licensed Product with payment due within thirty(30)days of invoice date. <br /> In the second and third year of the Agreement,TANA shall invoice Licensee for the License Fee upon TANA's <br /> initial shipment of the Licensed Product with payment due within thirty(30)days of invoice date. <br /> In each subsequent year thereafter,provided Licensee provides TANA with a purchase order as outlined above, <br /> TANA will invoice Licensee for the License Fee upon that year's shipment of the Licensed Product with <br /> payment due within thirty(30)days of invoice date. <br /> Remit Payments to: Tele Atlas North America,Inc. <br /> PO Box 3506 <br /> Boston,MA 02241-3506 <br /> Delivery <br /> TANA will ship the Licensed Products within seven(7)business days of both the signed Agreement and <br /> purchase order(for Agreements of$10,000 or more).
