1 <br />EASEMENT <br />stabilization during the construction, reconstruction, maintenance and repair of the <br />aforesaid improvement or facility, provided said use of adjacent property for <br />construction, reconstruction, maintenance and repair does not substantially interfere <br />with Grantors' business operations conducted on the property. <br />The easement affects a tract of land situated in the County of Snohomish, State of Washington, <br />and is described as follows: <br />See Exhibit "A" attached hereto and incorporated herein by reference. <br />This easement is granted subject to and conditioned upon the following terms, conditions and <br />covenants: <br />1. Grantors shall at all times conduct their activities and all other activities conducted on <br />Grantors' property so as not to interfere with, obstruct or endanger the usefulness of any <br />improvements, or other facilities, now or hereafter constructed and maintained upon the <br />easement, or in any way interfere with, obstruct or endanger the City's use of the easement <br />without first obtaining written approval of the City, which approval shall not be unreasonably <br />withheld. <br />2. It is recognized by Grantors that Grantors' existing improvements within the easement area <br />are in conflict with the rights herein granted to the City. The City shall replace the functionality <br />of the Grantors' existing improvements within the easement area to the extent that said <br />improvements are damaged by the City's election to exercise its rights herein granted, excepting <br />that parking stalls and landscaping improvements that exist in the easement area may be replaced <br />at the sole discretion of the City. <br />3. Prior to any construction, work or any other activity by Grantors within the easement, <br />notification and plans for the same shall be submitted in writing to the City by Grantors and no <br />such construction, work or activity by Grantors shall occur without City's prior written consent, <br />which consent shall not be unreasonable withheld; PROVIDED, HOWEVER, any changes or <br />revisions in the plans shall also be subject to City's prior written consent.
