If ihe Premises or a portian af the Building necessary for Lessee's <br />occupancy is damaged during the term of this Lease by any casualty which is insured under <br />standard fire and extended coverage insurance pvlicies, l.essor will repair or rebuild the <br />Premises to subsiantiaily the condition in which the Premises were. immediately prior to such <br />destructian. The Rent or Renewal Rent, as appticabie, will be abated proportionately during <br />any period in which there is seabstantial interference with the operatian of L.essee's business. If <br />the Premises are damaged to the extent that it would take, in Lessor's reasonable judgment, <br />mo�e than 30 days to repair, then either Lessor or Lessee may terminafe this Lease. <br />4.05 Indemnification. During boih the option period and the term of the Lease, the <br />Lessee shall indemnify and hold Lessor harmless against any claim of liability or loss from <br />personal injury or property damage caused by the negligence or willful miscanduct of the <br />Lessee, its servants or agents excepi to the extent that such claims or damages may be due to <br />or caUsed by the acfs or ornissions of the Lessor, its servants, agents, or any other party for <br />wham Lessor may be respansible. <br />ARTICLE 5. <br />5.01 Lessor Com�liance.. Lessor represents and warrants that, as of tE7e date of this <br />Lease, the Premfses and the Property camply with al! applicable laws, statutes, ordinances, <br />ruies, codes, regulatians, orders, and inferpretations of all federal, siate, and ather <br />govemmeniai or quasi-govemmental authori#ies having jurisdiction over the Property <br />(callectiveiy, "Laws"}, including, without limitation, the Americans with Disabilities Act of 1990. <br />At its sole cost ancE expense, Lessor wil! promptly camply with all Laws, and wil! cause the <br />Premises and the Praperty to camply with all Laws (including, wi#hout limitation, the Americans <br />With DisabiEities Act of 1994), except to the extent that such compiiance is required solely as a <br />resuit of Lessee's use ar occupancy of fhe Premises. If any modi�cations are required ta be <br />made to the Property after the date hereof as a result of any Laws, Lessee shal! have no <br />liabiliiy far any costs therefor, whether as a pass-through of operating expenses or otherwise. <br />5.02 Lgssee Compliance. Lessee wiil promptly co�nply with a!I i.aws relating to <br />Lessee's use or occupar�cy of the Premises.
