Lessor agrees to notifiy Lessee immediaieiy if at any fime during the term of this <br />Agreement Lessor decides to subdivide, se�l, ar change the status of the Premises or the <br />Property, or if Lessor leams of any pending or threatened or contempla#ed actions, Iitigation, <br />clai�ms, cnndemnations, or othar proceedirtgs which wou[d affec# ihe Premises ar any part of <br />the Premises, or any land use ar developmeni proposals affecting property in the vicinity of the <br />Property of which Lessar receives actuaf Notice. <br />6.03 Successars and Assiqns. This Agreement shall run witti the Property and sha(1 be <br />bincling on and inure to the benefit of the parties, their respective successors, personal <br />represen#atives and assigns. <br />6.04 Complete Ac�reemant. It is hereby mu#ually agreed and undersf�nd tha# fhis <br />AgrE;ement contains aEl agreemenfs, promises, and understandings belween E.essor and <br />Les:�ee and tha# no oihe� agreements, promises, or understandings shall or will be binding on <br />eith��r Lessor or Lessee in any dispute, controversy, or proceeding at law, and any addifion, <br />vari��tion, or modification to this Agreement shal! be void and ineffective unless in writirtg and <br />signed by the parties hereto. <br />6.05 A�s�licabie Law. This Agreement and the pertormance thereofi shall be govemed, <br />interpreted, cor�stn�ed, and regulated by the iaws of the state in which the Premises a�e <br />loca�ted. <br />6.06 Notices. AN notices and other communications including changes in the Lessors <br />Reni: Payee, required or permitted under this Agreement sha(i be in writing and shal! be given <br />by tJnited States first class mail, postage prepaid, registered or certified, retum receipt <br />requested, or by hand de(ivery (including by means of a professional messenger service) <br />addressed to the party for whom it is in#encfed ai its address set forth in section 1. Any such <br />notice or other communication shal! be deemed to be effective when actuaily received or <br />refu�;ed. Either par�y may by simifar notice given change the address ta which future notices <br />or otlher communications shail be sent. <br />6.07 Authoritv, Each of the individuals executing this Agreement on behalf af the <br />Less�ee or the Lessor represents to the other party fhai such individual is authorized to do sa <br />by requisite action of the party ta fhis Agreemen#. <br />6.08 Disputes. Any claim, controversy or dispute arising out of fhis Agreement shall be <br />seitle�d by arbitration in accordance with the applicable fufes of the American Arbitration <br />Asso�ciation, and judgment upon the award rendered by the arbitrator may be entered in any <br />court having jurisdicfian thereof.
