(approximately 29 acres), which are legally described on Exhibit B attached hereto. <br /> CSR-Associated shall convey the Transfer Lots (together with all of CSR-Associated's right, <br /> title, and interest in and to adjacent streets, alleys, rights-of-way and any strips or gores of real <br /> estate adjoining the Transfer Lots and all improvements, structures and fixtures located on the <br /> Transfer Lots and all rights, title, and interests appurtenant thereto, including all of the rights, <br /> licenses, privileges and easements and rights-of-way, land use entitlements, government <br /> approvals, permits and rights and appurtenances pertaining to or used in connection with the <br /> beneficial use and enjoyment of the Transfer Lots) to the City by Statutory Warranty Deed free <br /> and clear of encumbrances or defects except the Permitted Exceptions under Section 1.6 below. <br /> CSR-Associated shall transfer each of the Transfer Lots to the City in accordance with the <br /> conditions described in Section 1.7. CSR-Associated, and not FSA, will be solely responsible <br /> for the developer's obligations in Part One of the Agreement. <br /> (b) Timing of Conveyance. The Transfer Lots must be conveyed to the City <br /> on the following schedule: <br /> (1) Lot 45-A, by no later than sixty(60) days following execution of this <br /> Agreement; <br /> (2) Lot 45-B, by no later than October 31, 2002; <br /> (3) Lot 45-C, by October 31, 2006, or by such time as CSR-Associated <br /> has deposited a minimum of 1.6 million tons of fill material on Lots <br /> 45-B and 45-C, whichever date is later: Provided that in no event shall <br /> such conveyance be made later than the term of this Agreement; and <br /> provided further that, such conveyance shall be made sooner in the <br /> S:\GDoughty\W IN WORD\CSR\AgreementFinal.doc 3 <br /> Seattle/2.8.00 <br />
