wastes as are or become regulated or subject to cleanup under any local, state or federal laws or regulations. (j) No Conflict. Neither the execution of this Agreement nor the consummation by CSR-Associated of the transaction contemplated hereby will (i) conflict with or result in a breach of the terms, conditions or provisions of or constitute a default, or result in a termination of any agreement, permit, or other instrument to which CSR-Associated is a party; (ii) violate any restriction to which CSR-Associated is subject; or (iii) constitute a violation of any applicable law or legal requirement of which CSR-Associated is aware. (k) Accurate Information. CSR-Associated shall deliver to the City full and complete copies of the following items on or before the date of execution of this Agreement, which documents and information are true and accurate in all material respects: (1) All surveys, environmental, soils, engineering or similar reports, studies and assessments relating to the Transfer Lots undertaken by or for CSR-Associated or otherwise in CSR-Associated's possession or control. (2) All agreements between CSR-Associated and any prior owner or any current or prior occupant of the Transfer Lots with respect to the condition of the Transfer Lots, the presence of Hazardous Substances or waste on the Transfer Lots or any indemnity relating thereto. (3) All leases, rental agreements, licenses, occupancy agreements, or other agreements granting rights to use or occupy any portion of the Transfer Lots and any amendments or letter agreements related thereto and all related guaranties, if any.
