• 6 <br /> • Whereas, all actions precedent to the City Council's authorization of the sale of the <br /> Property pursuant to the PDA have been taken, as the same may be required by the City <br /> Charter, Ordinance No. 2935-06 and other applicable law; <br /> NOW,THEREFORE, it is hereby resolved by the City Council of the <br /> City of Everett: <br /> Section 1. The sale of the Property on the terms and conditions set forth in the Property <br /> Disposition Agreement is herby authorized, such sale being in the best interest of the City <br /> and furthering the purposes of the City(including, but not limited to, the purposes of the <br /> City set forth in the City Adopted Plans and Development Regulations). <br /> Section 2. The Mayor or the Mayor's designee(s) is authorized to effect such sale in a <br /> commercially reasonable manner, and to execute the Property Disposition Agreement and <br /> such other customary and necessary documentation consistent therewith for the sale of <br /> the Property. Without further authorization from Council, the Mayor or his designee may <br /> grant all approvals, consents, and collateral documents contemplated by the Property <br /> Disposition Agreement, including but not limited to the Environmental Indemnification <br /> and Landfill Agreement on terms consistent with the term sheet, attached as Exhibit K to <br /> the Property Disposition Agreement. <br /> COUNCIL MEMBER INTRODUCING RESOLUTION <br /> PASSED AND APPROVED THIS DAY OF <br /> , 2007 <br /> BRENDA STONECIPHER, <br /> COUNCIL PRESIDENT <br /> 3 14 <br />
