WHEREAS,the City is willing to grant FRIENDSHIP DIVERSION SERVICES <br /> authority to use a portion of City's property upon certain terms and conditions; <br /> NOW, THEREFORE, in consideration of the premises, FRIENDSHIP DIVERSION <br /> SERVICES agrees to, at it's sole cost and expense, improve the property by performing <br /> any tenant required improvements including any cleaning, painting, and related <br /> improvements of the premises necessary for its intended use, and to also provide the City <br /> with services as specified under Section lof this License agreement, and for the promises <br /> contained herein and other good and valuable consideration,the receipt and sufficiency <br /> of which is hereby expressly acknowledged, the City does hereby grant a License to <br /> FRIENDSHIP DIVERSION SERVICES to use the City's property upon the following <br /> terms and conditions: <br /> 1. SERVICES. FRIENDSHIP DIVERSION SERVICES shall: 1) provide support <br /> services in a relicensing program; 2)provide their professional services in assisting <br /> individuals with opportunities to participate in educational programs lieu of filing <br /> charges; and 3)enhance through their professional and support services Everett's court <br /> services. <br /> 2. TERM. This License shall be effective beginning on October 30,2014, and shall <br /> expire one year from the effective date, unless terminated earlier upon 30-days notice per <br /> Section 7 below. Any occupancy of the premises by FRIENDSIIIP DIVERSION <br /> SERVICES after the expiration of this License shall be on a month to month basis. <br /> 3. AUTHORIZED USE. FRIENDSHIP DIVERSION SERVICES may only use the ., <br /> property for the purpose of office space(Suite 250) and meeting/classroom activities <br /> (Suite 251-conference room space shared with Halvorson Construction) related to the <br /> diversion program. Suite 251 conference room space shall generally be available for <br /> Halvorson's use each day from 5:00 AM to twelve noon and shall be available for <br /> FRIENDSHIP DIVERSION SERVICES use each day from twelve noon to 9:00 PM, or <br /> as otherwise agreed to by the parties <br /> 4. PREMISES EXPENSES. As a mutual consideration for the services being provided <br /> under Section 1, no rent is required from FRIENDSHIP DIVERSION SERVICES for the <br /> premises,however FRIENDSHIP DIVERSION SERVICES shall be responsible for all <br /> utility and servicing costs including any required Lease Hold Tax associated with its use <br /> of the property. Any improvements required to the property necessary for FRIENDSHIP <br /> DIVERSION SERVICES use shall be at the sole cost and expense of FRIENDSHIP <br /> DIVERSION SERVICES. The City shall not be obligated to provide any improvements <br /> to the property arising or as a result of this License agreement. <br /> 5. INDEMNIFICATION. To the extent of its fault, FRIENDSIIIP DIVERSION <br /> SERVICES hereby agrees to defend, indemnify and hold the City harmless from any and <br /> page 2 <br />
