Ns a material consideration to the City for entering into this <br /> Agreement, and without which the City would not enter into same, Company <br /> agrees to, and hereby does release, indemnify and promise to defend and save <br /> harmless the City, its officers, employees and agents, from and against any <br /> and all liability, loss, damage, ex��ense, action and claims, includinn costs <br /> and reasonable aCtorney's fees in���rred by City, its officers, employees and <br /> agents in defense thereof, assertinn or arising directly or indirectly on <br /> account of or out of the duplex being located on or about the above-described <br /> easement. <br /> 2.
