Port Gardner Bay Outfall Replacement Agreement <br /> 21. MISCELLANEOUS PROVISIONS <br /> 21.1 Audit of Accounts <br /> All expenses submitted to the City shall be subject to inspection, audit and copying by the <br /> City or its audit representatives during normal K-C business hours. K-C shall retain all of <br /> its records of Joint Use Facilities costs and expenses for not less than three years after <br /> final acceptance of any contracts let or awarded for the Joint Use Facilities. <br /> 21.2 Severability <br /> If any provision of this Agreement is held to be invalid, such invalidity shall not affect <br /> any other provision hereunder; provided, however, the Participants shall negotiate in good <br /> faith any amendments to this Agreement necessary to effect the Participants' original <br /> intent. <br /> 21.3 Invoicing <br /> Unless otherwise provided herein or as decided by the PRT, charges or expenses to be • <br /> paid by a Participant hereunder shall be invoiced monthly, and such invoices shall be paid <br /> within thirty days of receipt. In the event of a dispute, the receiving Participant shall pay <br /> any undisputed portion of the invoice and the disputed portion shall be handled pursuant <br /> to the §21.7 below. <br /> 21.4 Amendments <br /> The parties may only amend this Agreement in writing, notwithstanding the authority <br /> given the PRT under this Agreement to take certain actions and make certain adjustments <br /> (e.g., to the schedule and adoption of the Annual O&M Budget). <br /> 38 of 46 <br />
