3 . The Lease is in full force and effect and has not been <br /> modified since the execution thereaf; <br /> 4. There are no uncured defaults by an;� party to the Lease <br /> other than any default as disclosed in writing by Assignor to <br /> Assignee, nor does there exist any event or condition which, with <br /> notice or the passage of time or both, could constitute a default <br /> under the Lease; <br /> 5. No tenant under the Lease has been qranted any <br /> concessions, bonuses or other matters affecting the rent pa�aale <br /> under the Lease (other than disclosed in the Lease) , and no <br /> brokarage or othar finder's fees are due in relation to the Lease <br /> or any extensions thereof; and <br /> 6. The Lease specifically identified above is the only � <br /> lease or rental agreement, either oral or in writinq, relating to <br /> th�= occupancy of the Property. <br /> Except as hereina£ter provided, it is expressly understood <br /> and agreed that, by the acceptance hereof, Assignee shall not <br /> become obliqated to keep, fulfill, observe, perform or discharge, <br /> nor does Assignee assume, expressly or impliedly, any covenant, <br /> duty, debt or obligation of Assiqnor which has accrued prior to <br /> the date hereof, under the terms, provisions and conditions of <br /> the Lease, and Assignor hereby agrees to indemnify Assignee <br /> aqainst and defend and hold Assignee harmless from and against <br /> any and all costs, claims, fees and expenses (including <br /> Assiqnee's attorneys� fees) arising out of or in any way relating <br /> to defaults and liabilities of Assiqnor under the Lease relativa <br /> to the acts by or omissions of Assignor on or prior to January 5, <br /> 1996; provided, however, that Assiqnee assumes and agrees to <br /> perform the disclosed obligations of the landlord under the Lease <br /> lrom and after the effective date of this Assignment. <br /> 718SIaNOR: FREDERICK D.
