<br />HOLD HARMLESS AGREEMENT
<br />As a material consideration to the City for issuing this permit, and without which the
<br />City would not issue this permit, Applicant agrees to, and dces hereby indemnify and
<br />hold the City, its officers, employees and agents harmless from and aga�ust any and all
<br />claims, acdons, demands, suits, losses or liab�lrty resulting at any time from in�ury to
<br />or death of any person or persons, and or damage to any and all property occumng
<br />from the negligence or other fault or omission of Applicant, its agents, servants,
<br />employoes, subcontractors, sublicensees, successors or assigns in or about the
<br />Premises, or resultin� from any noncompliance with any law, ordinancx or regulation
<br />respacting the condit►on, usc or occupation of the Prem�xs or anypart thereof, or
<br />arismg or resulting from the exercise by Ap�licant of a�y of its nghts under the terms
<br />of this permit. Wichout limiting the general►ty of the foregoing, the within
<br />indemnification by Applicant of City, �ts officers, employees and agents shall include
<br />indemnification from any claims, act�on, demand, cause of action, su�t, or procceding,
<br />and said indemnification shall in all events include any and all attorney's fees, court
<br />costs and other legal expenses, and shall include the obl�gadon of Applicant to appear
<br />in and defend any and all such claims, actions, or other legal proceedings whether
<br />judicial, quasijudicial, administrative or otherwise, against or affecting C�ty, its
<br />officers, employees and agents arising out of ot pertaining to the �erformance or non-
<br />performance of any duty by Applicant under the terms and prov�s�ons of the within
<br />permit. This paragraph dces not purport to indemnify the City, its officers, employees
<br />and agents aga�nst liab�lrty for damages arising out of bodily in�ury to persons or
<br />damages caused by or resulting from the sole negligence of the City, its officers,
<br />employees and agents; provided, that if the claims or damages are caused by or result
<br />from the concurrent negl�gence of (a) the City, its officers, employees, officers,
<br />employees or agents, and (b) Applicant, its agents, setva��s, employees, officers,
<br />subcontractors, sublicensees, successors or assigns, this indemnity Qrovis�on shall be
<br />valid and enforceable to the extent of the negligence of Applicar.t, its agents, servants,
<br />employees, officers, subcontractors, sublicensees, succe°-�rs or assigns.
