ca: <br /> w.3 r <br /> t <br /> Vehicle Lease Agreement with Pignataro Volkswagen <br /> Everett Police Department,hereinafter referred to as"Lessee"hereby acknowledges the receipt from <br /> Pignataro Volkswagen hereinafter referred to as"Lessor"of the following by the Lessee or its designated <br /> representative: <br /> Year Make Model VIN <br /> (1) 2004 VW Touareg WVGBC77L24D060977 <br /> Lessor hereby covenants that it is the lawful owner of the above listed automobile which is free from all <br /> encumbrances;that it has the right to provide the automobile for use by the lessee;and that it will warrant <br /> and defend the lessee against any claims and demands against legal titles made by all persons. <br /> Lessor makes this agreement for the sum of$1.00(one dollar)the receipt of which is hereby <br /> acknowledged. <br /> Insurance <br /> The lessee agrees to fully protect,indemnify,and hold harmless the Lessor from any and all claims or <br /> demands relating to all matters involving the leased automobile occurring after the date of this agreement <br /> for the duration of the lease period,or until the automobile is returned to the exclusive possession and <br /> control of the Lessor or its lawful assignee. <br /> Term <br /> The parties hereto mutually agree that the term of and use of the automobile shall commence on <br /> May 6 ,2006 and will continue no later than May 6 ,2007. Any extension <br /> in the term of use,or early termination of the same shall be mutually agreed upon by both parties. <br /> Disposition <br /> Lessee agrees not to sell,convey,or in any way dispose of the above listed automobile during the lease <br /> term,except that it may sell and deliver this vehicle upon the terms and conditions acceptable to the Lessor <br /> upon prior authorization of sale to the Lessor or its designated representative. <br /> Lessee shall expend all necessary funds to properly maintain the automobile in operable condition. It is <br /> agreed that the Lessee shall return the automobile to the Lessor in the same condition as when received <br /> except for ordinary and normal wear,tear and mileage. Upon return of the automobile to the Lessor, <br /> Lessee agrees to provide as clear of a title as received from the Lessor,free of all encumbrances,and <br /> further agrees that it will warrant,defend and hold harmless the Lessor against any demands of any persons <br /> arising during the course of the Lessee possession and use of the automobile. The Lessee will be held <br /> responsible for any damage to the vehicle. <br />
