provided, however, that this does not include materials, information, reports or <br /> documentation provided to the Agency from third parties (including prospective <br /> homebuyers) or materials, information, reports or documentation prepared by the <br /> Agency based upon incomplete, incorrect or false information, reports or <br /> documentation provided to the Agency from third parties (including prospective <br /> homebuyers), but only if and to the extent that the Agency has exercised due <br /> diligence and the reasonable judgment expected of agencies engaged in the <br /> business of making home loans to low-income persons in its collection of and <br /> reliance on those materials, information, reports or documentation provided to it by <br /> third parties; <br /> c. Except as provided in Section VI-B-3 hereof, any failure to <br /> resolve audit findings associated with this Agreement in the time frame prescribed by <br /> the auditors or, if no timeframe is identified by the auditors, within a reasonable time <br /> as agreed to by the City and the Agency; or <br /> d. Failure of the Agency to timely respond to the notice of <br /> breach or to submit its Corrective Action Plan within the time allowed by this Section <br /> VI-B-2. <br /> 3. Termination for Cause — Breach Not Subject to a Corrective <br /> Action Plan <br /> Without being required to comply with the provisions of Section VI-B-2 hereof, the <br /> City may terminate this Agreement, in whole or part, immediately in the event of any <br /> improper or illegal use of funds or receipts. <br /> 4. Consequences of Termination <br /> If the Agreement is terminated, in whole or in part, as provided above: <br /> a. The City will be liable only for payment in accordance with <br /> the terms of this Agreement for services rendered prior to the effective date of <br /> termination and for services to be rendered pursuant to provisions of the Agreement <br /> not so terminated; <br /> b. If applicable, the Agency shall be released from any <br /> obligation to provide additional purchase assistance pursuant to the Agreement; and <br /> c. Upon the City's request, the Agency shall deliver to the <br /> County all documents, files and records or copies thereof pertaining to all active <br /> loans and any loans that may be in progress. <br /> 5.
