' r <br /> a. The Agency shall obtain and maintain continuously for the <br /> term of this Agreement, Commercial General Liability insurance with endorsements <br /> and/or other insurance which will indemnify for the activities and services of this <br /> Agreement, with a carrier subject to the approval of the City. Minimum limit of <br /> coverage shall be $1,000,000 combined single limit for Commercial General Liability. <br /> b. Commercial General Liability insurance shall be endorsed <br /> to include The City of Everett, its officers, elected officials, agents and employees as <br /> an additional insured and shall not be reduced or canceled without thirty ( 30) days' <br /> written prior notice to the City. <br /> c. Such insurance shall be endorsed to include a "Cross <br /> Liability Endorsement", "Severability of Interests", or "Separation of Insureds" <br /> provision, indicating essentially that "except with respect to the limits of insurance, <br /> and any rights or duties specifically assigned in this coverage part to the first named <br /> insured, this insurance applies as if each named insured were the only named <br /> insured, and separately to each insured against whom claim is made or suit is <br /> brought." <br /> d. If coverage is on a claims made basis, the retroactive date <br /> shall be prior to or coincident with the date of this Agreement, and the policy shall <br /> state that coverage is claims made, and state the retroactive date. If claims made, <br /> the Agency shall maintain coverage for the duration of this Agreement and for a <br /> minimum of three years following termination of this Agreement. The Agency shall <br /> annually provide the City with proof of renewal. <br /> e. The Agency shall provide the City a certificate of <br /> insurance with an additional insured endorsement as evidence of coverage. <br /> Approval of insurance is a condition precedent to execution of this Agreement by Risk <br /> Management. All insurance shall be placed with insurance carriers licensed to do <br /> business in the state of Washington, and with carriers subject to approval by the City. <br /> 2. Workers' Compensation <br /> The Agency shall provide or purchase workers' compensation insurance coverage to <br /> meet the State of Washington industrial insurance regulations and cause any <br /> contractors or subcontractors working on behalf of the Agency to also carry such <br /> insurance prior to performing work on the Project. The City will not be responsible <br /> for payment of workers' compensation premiums or for any other claim or benefit for <br /> the Agency, its employees, consultants, Project contractors or subcontractors, which <br /> might arise under the State of Washington industrial laws that address workers' <br /> compensation. <br /> HOME and ADDI Agreement between <br /> City of Everett and HomeSight <br /> 24 <br />
