AMENDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT <br /> AND <br /> URS CORPORATION <br /> The City and URS Corporation agree to amend and modify their professional services agreement <br /> (for Portal 3 at Lake Chaplain Reservoir) dated January 12, 2004 (the "Agreement") as follows: <br /> WHEREAS, URS Corporation and the City entered into an Agreement dated January 12`h, 2004 <br /> to provide engineering consulting services for the design of the Portal 3 Relocation Project at <br /> Lake Chaplain Reservoir; and <br /> WHEREAS, the parties amended the Agreement on March 31, 2005 to provide a seismic <br /> analysis of the existing structure; and <br /> WHEREAS, additional design consulting and construction period support services are needed, <br /> and the Agreement is likely to expire prior to completion of the project; and <br /> WHEREAS, the total amount of compensation stated in the Agreement is insufficient for the <br /> remainder of the project and an additional$187,642 of contract value is needed to complete the <br /> project; and <br /> WHEREAS, the City of Everett requires continued assistance from URS Corporation for <br /> services as described in Exhibit A of this Amendment; <br /> NOW THEREFORE, the City of Everett and URS Corporation agree to amend and modify the <br /> previously amended Agreement as follows: <br /> 1. The following work is added to the Scope of Work described in Exhibit A of the <br /> Agreement: Revised Design and Construction Support (see Item 4). <br /> 2. Paragraph 3 of the Agreement is amended to read as follows: <br /> 3. Time of beginning and Completion of Performance. This Agreement shall <br /> commence as of the date of execution of this Agreement and shall be completed by <br /> December 31st, 2009. <br /> 3. Paragraph 4(D) is modified to read as follows: <br /> Total compensation, including all services and expenses, shall not exceed a <br /> maximum of Four Hundred Forty Five Thousand, One Hundred and Forty Two <br /> Dollars ($445,142). <br /> 4. New tasks are added to the scope of work for this project, including redesign of the portal <br /> relocation based upon higher than anticipated construction costs and additional analysis <br /> n of the structure.
