in AMENDMENT NO.3 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND KROLL, SCHIFF & ASSOCIATES The City and Kroll, Schiff & Associates agree to amend and modify their professional services agreement dated February 24, 2006 (the "Agreement") as follows: WHEREAS, the City entered into an agreement with Kroll, Schiff and Associates to design security improvements for the Water Filtration Plant and the Water Pollution Control Facility for the City of Everett; and WHEREAS, the parties amended the Agreement on July 10, 2006 to extend the time for completion to July 31, 2007 and WHEREAS, the parties amended the Agreement on October 23, 2006 to provide scope and design for the security of portals #3, #4 and #5 and WHEREAS, work is not yet complete on the installation of the security system at both the Water Filtration Plant and the Water Pollution Control Facility; and WHEREAS, the agreement is likely to expire prior to completion of those projects and expect work to be completed by July 31, 2008; and WHEREAS, the City and Kroll, Schiff & Associates agree to amend their Agreement to extend time for completion from July 31, 2007 to July 3l, 2008 with no increase in compensation; NOW THEREFORE, the City of Everett and Kroll, Schiff & Associates agree to amend and modify Agreement as follows: Paragraph 3 is modified to read as follows: This Agreement shall commence as of the date of execution and shall be completed by July 31, 2008.
